We advise clients on the establishment and operation of for profit and nonprofit organizations. We help clients select the proper form of organization based on the entities’ anticipated activities, such as traditional corporations or partnerships, or one of the limited liability entities.

CORPORATE GOVERNANCE

Once the organization form is selected, we develop the documentation to ensure that the governance of that entity is consistent with the client’s objectives. These documents most often take the form of articles of incorporation and bylaws, partnership agreements, among others.

For companies already doing business, the firm offers expertise in areas of the law that may affect day-to-day operations. If clients have no in-house legal resources, our expertise enables us, among other things, to provide the same functions as a general counsel. For clients with such resources, we assist on specific projects or issues. We draft and negotiate single-purpose or standard-form agreements for the purchase or sale of goods and services.

We advise private and nonprofit companies regarding general as well as complex corporate governance issues. We counsel members of boards of directors, the board as a whole and senior executives on the full range of corporate governance issues that confront companies and their leadership, including:

  • Board committee structure and composition and board committee charters
  • Senior executive and director succession planning
  • Enterprise risk identification and risk management
  • Senior executive and director compensation policies and planning
  • Evolving trends and best practices for corporate governance, including review and updating of charter and bylaws.

OPERATIONS AND GOVERNANCE ASSESSMENT

We also perform internal investigations to address various board concerns.
